Practitioner Terms & Conditions – Integrative Wellness Screening
These Terms and Conditions ("Terms") govern the use of HealthSense' integrative wellness screening by practitioners ("Practitioner", "You", "Your"). By applying for an account, ordering tests, or using any HealthSense services, you agree to be bound by these Terms.
1. Definitions

HealthSense ("We", "Us", "Our"): The provider of functional health assessments, laboratory testing, and associated practitioner services.

Practitioner: A student or qualified health professional approved by HealthSense to order tests and interpret results for clients.

Client: An individual receiving testing or assessment services ordered by the Practitioner.

Services: Laboratory tests, health assessments, reports, educational materials, and practitioner support provided by HealthSense.

Results: Test findings, reports, and interpretive data generated by HealthSense or partner laboratories.
2. Eligibility & Practitioner Approval
2.1 Services are available to students and qualified practitioners working within a recognised health, wellness, or allied healthcare scope.
2.2 All Practitioners must complete the application process and be approved by HealthSense before accessing Services.
2.3 HealthSense reserves the right to approve, suspend, or revoke Practitioner accounts at its sole discretion, including where professional conduct, ethical concerns, or misuse of Services is identified.
2.4 The Practitioner warrants that all information provided during the application and approval process is accurate, complete, and not misleading in any material respect.
HealthSense reserves the right to request additional information, qualifications, registrations, or supporting documentation at any time.
HealthSense may immediately suspend or terminate a Practitioner account where false, misleading, inaccurate, or incomplete information has been supplied during the application process or during the course of using the Services.
3. Scope of Services
3.1 HealthSense provides laboratory-based functional health assessments and educational resources designed to support clinical insight.
3.2 Services are not intended to diagnose, treat, cure, or prevent disease unless otherwise explicitly stated and permitted by law.
3.3 Practitioners are solely responsible for:

Determining test suitability for each Client

Explaining results accurately and appropriately

Ensuring services are used within their professional scope of practice
4. Practitioner Responsibilities
4.1 You agree to:

Practice in accordance with all applicable laws, regulations, and professional standards

Obtain informed consent from Clients prior to testing

Maintain accurate Client records
-
Use HealthSense results as part of a broader clinical assessment
4.2 Practitioners remain solely responsible for compliance with all applicable professional registration requirements, codes of conduct, legal obligations, and scope of practice requirements relevant to their profession.
5. Client Consent & Privacy
5.1 Practitioners must obtain informed consent from Clients prior to ordering any tests.
5.2 You confirm that Clients understand:

The nature and limitations of testing

How their samples and data will be used
-
That results are for health assessment and educational purposes
5.3 HealthSense complies with applicable privacy legislation, including the New Zealand Privacy Act 2020. Client data is handled in accordance with our Privacy Policy.
6. Ordering, Samples & Turnaround Times
6.1 All test orders must be placed through the HealthSense online practitioner portal using your approved login credentials.
6.2 Practitioners are responsible for ensuring correct sample collection, handling, and submission in accordance with provided instructions.
6.3 Turnaround times are estimates only and may vary due to laboratory, courier, or external factors.
7. Results & Interpretation
7.1 Test results are provided directly to the Practitioner, not the Client, unless otherwise agreed.
7.2 HealthSense may provide reference ranges, clinical insights, or educational commentary; however, interpretation remains the Practitioner’s responsibility.
7.3 Results should not be used as the sole basis for medical or therapeutic decisions.
8. Fees, Payments & Refunds
8.1 Practitioners agree to pay all fees associated with ordered Services at the rates displayed at the time of ordering.
8.2 All fees are inclusive of GST unless otherwise stated.
8.3 Due to the nature of integrative and laboratory testing, refunds are generally not available once testing has commenced, except where required by law.
8.4 HealthSense reserves the right to update pricing with reasonable notice.
9. Intellectual Property & Confidential Information
9.1 All reports, report templates, report layouts, report structures, educational materials, practitioner resources, training materials, graphics, branding, methodologies, workflows, software, website content, testing frameworks, clinical support materials, and other content provided by HealthSense remain the exclusive intellectual property of HealthSense and its licensors.
Nothing in these Terms transfers any intellectual property rights to the Practitioner.
9.2 Practitioners may use HealthSense reports and materials solely for the purpose of providing services to their Clients in connection with HealthSense testing and assessment services.
9.3 Practitioners must not, without prior written consent from HealthSense:

Copy, reproduce, distribute, publish, modify, adapt, translate, or create derivative works from HealthSense materials;

Remove copyright notices, trademarks, watermarks, or proprietary markings;
-
Resell, sublicense, or commercially exploit HealthSense materials;
-
Share practitioner-only resources with unauthorised persons;
-
Use HealthSense materials for training, commercial, or educational purposes outside the intended use of the Services.
9.4 Practitioners agree not to access, use, download, analyse, review, benchmark, copy, reverse engineer, or otherwise obtain HealthSense materials, reports, educational resources, practitioner resources, methodologies, workflows, pricing information, business processes, or proprietary information for the purpose of:

Developing or supporting competing products or services;

Replicating HealthSense services, systems, reports, or methodologies;
-
Conducting competitive analysis;
-
Assisting a competitor of HealthSense.
9.5 Practitioners acknowledge that practitioner pricing, training materials, educational resources, practitioner communications, business processes, testing methodologies, and all non-public information provided by HealthSense are confidential.
Practitioners agree not to disclose, distribute, publish, or otherwise make available any confidential information to third parties without prior written consent from HealthSense.
These confidentiality obligations continue after termination of the Practitioner account.
10. Limitation of Liability
10.1 To the fullest extent permitted by law, HealthSense shall not be liable for:

Clinical decisions made by Practitioners

Misinterpretation or misuse of results
-
Client outcomes resulting from Practitioner advice
10.2 HealthSense’s liability, if any, is limited to the amount paid by the Practitioner for the specific Service giving rise to the claim.
11. Indemnity
You agree to indemnify and hold harmless HealthSense, its directors, employees, and partners from any claims, losses, or damages arising from:

Your professional services
-
Breach of these Terms
-
Violation of applicable laws or professional standards
12. Account Suspension & Termination
12.1 HealthSense may suspend, restrict, or terminate access to Services immediately where:

These Terms are breached;
-
Professional misconduct or unethical conduct is identified;
-
False or misleading information has been provided;
-
Non-payment occurs;
-
HealthSense reasonably believes that Services, materials, reports, practitioner resources, or confidential information are being accessed or used for unauthorised, competitive, or improper purposes.
12.2 Upon termination, the Practitioner must immediately cease using any practitioner-only resources and must not continue to access, copy, distribute, or use confidential materials obtained through the Practitioner account.
12.3 Any outstanding fees remain payable and any obligations relating to confidentiality, intellectual property, indemnities, or liability shall survive termination.
13. Amendments
HealthSense may update these Terms from time to time. Continued use of Services constitutes acceptance of the updated Terms.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of New Zealand. Any disputes shall be subject to the exclusive jurisdiction of New Zealand courts.
